Small Business Referral Group, LLC (SBRG) (SBR Group)

This agreement is between the person who acknowledges and agrees (“You”) to the Terms of Service (“Rules”) as set forth in this agreement, and SBRG (“We”, “Us”, “Our”).

SBRG operates JoinSBRGroup.com and SBRG’s related internet domains, SmallBusinessReferralGroup.com, and JoinSBRG.com as well as the SBRG mobile application. These resources, along with associated social media accounts, email addresses, SMS, texts, APIs, ads, widgets, paper forms, links, videos, podcasts, uploadable or downloadable content, and various other resources are the (“Tools”) available to Members of SBRG.

These ever-evolving Rules govern Your access to, and use of SBRG’s Tools. By using the SBRG Tools You agree to be bound by these Rules. Since these Rules are ever-evolving, You should expect frequent changes to them as SBRG grows, and with such changes, Your use, rights, and privacy expectations may also change.

In the event of inconsistency between the English language version of these Rules and any translation into another language, the English version will control and prevail on any question of interpretation.

Definitions and Duties:

The ownership and primary managing group of SBRG shall officially be referred to as the “Front Office”
The Regional Trainer (RT) shall be an active member of SBRG within the Region the RT supports. This position is appointed by the Front Office. The role of the RT entails fostering the development of all SBRG Chapters under their jurisdiction in the Region.
The local groups conducting weekly meetings within each Region shall be formally designated as “Chapters”
The Co-Host is the sole elected position in each Chapter. This is a two-year term. Year one as the Co-Host, and year two as the Host. Elections will be held during the first meeting of the Chapter's anniversary month.
The Membership Council in each chapter shall consist of the Host, the Co-Host, and the Immediate Past Host. In the event of a tie vote, the RT shall exercise the deciding vote.

Within the Membership Council, the following positions are designated:

Host: Hospitality Host (Responsible for greeting attendees upon arrival at meetings).
Co-Host: Application Coordinator (Handles acceptance of new and renewal membership applications for review by the Membership Council).
Immediate Past Host: Resolution Facilitator (Utilizes SBRG Directives and Policies to mediate disputes between two Members or between a Member and the Front Office).
In the event that a member of the Membership Council is unable to fulfill their duties, the RT shall serve as their substitute until the Chapter reaches an appropriate resolution regarding the absence.

Privacy:

Protection of Your privacy is taken seriously at SBGR. SBRG will not purposely sell, license, rent, make public in list form, or otherwise make public the personal information of our Members, RTs, or Employees, except through SBRG’s Tools. You acknowledge that through Your use of the Tools, Your personal data will be collected and used to promote the business You represent within SBRG, and as such, the information You enter into Your Public Profile within the SBRG Tools will be visible to other Members and the public at large. Eligibility to Use SBRG Services:

By agreeing to these Rules and if permitted by the laws of Your jurisdiction, You are granted access to the SBRG Tools. You are responsible for Your use of the SBRG Tools and any content You provide, including compliance with applicable laws, rules, and regulations. Please ensure your content meets these standards before submission. SBRG reserves the right to remove content alleged to be infringing on others’ intellectual property, without prior notice, at Our sole discretion, and without liability to SBRG We will swiftly respond to notices of alleged copyright infringement and/or intellectual property in compliance with applicable laws.

All Users of the Tools shall operate in a lawful, ethical, and professional manner. All Users shall conduct themselves in a responsible and businesslike manner at all times and will avoid any discourteous, deceptive, misleading, offensive, indecent, or unethical practices.

You acknowledge that SBRG may, in good faith, access and/or disclose Your information if required to do so by law. SBRG’s access or disclosure of Your information may be reasonably necessary in order to: (a) comply with legal process; (b) enforce the provisions of these Rules; (c) respond to claims that any content violates the rights of SBRG, its RTs, its Members, or third parties; (d) respond to Your requests for customer service; or (e) protect the rights, property or personal safety of SBRG, its users, and the public.

Restricted use of SBRG intellectual property:

No User may, without authorization from SBRG Front Office, use of the name, likeness, logo, trademark, or copyrighted material of SBRG. Social media accounts using the SBRG name, likeness, logo, trademarks, service marks, or copyrighted material must be approved by the SBRG Front Office, and those accounts must be held and operated exclusively by SBRG, SBRG Chapters, or SBRG RTs.

As with any content published via the Internet, it is the user’s responsibility to consider the source of the Content or materials before using or relying upon it. Your use of the SBRG Tools is at Your sole risk. The Tools are provided on an "as is" and "as available" basis. SBRG Tools come without warranties of any kind, whether expressed or implied, including, but not limited to; implied warranties of merchantability, applicability for a particular purpose, non-infringement, or performance.

Individuals who are legally incapacitated (due to mental disability, intoxication, being under the age of 18, etc.) are not permitted to use the SBRG Tools. If You are accepting these Rules and using the SBRG Tools on behalf of a company, organization, government, or other legal entity, You affirm that You have the authority to do so.

Electronic Information Delivery:

By using any of the SBRG Tools, You consent to receive communication electronically from SBRG, Our RTs, and Our Members. If You wish to withdraw your consent and not receive notices electronically, You must discontinue your use of the SBRG Tools.

No Spamming:

Spamming is strictly prohibited by SBRG and will result in the immediate termination of Your account.

Spamming is defined as: The use, or better stated, abuse of electronic messaging systems to send unsolicited bulk or individual messages. All methods of Spamming are prohibited by SBRG, including but not limited to: e-mail, instant messaging, newsgroups, internet search engines, blog or social media comments, internet forums, texts (SMS or MMS), and fax transmissions.

Third-Party Websites:

SBRG may provide clickable or non-clickable URL links that may redirect or open third-party websites on the Internet. We may also include references and/or information to products or services made available by third parties that are unaffiliated with SBRG. We make every effort to work with only trusted, reputable providers, however, from time to time these sites may be inoperable or contain information that You may find inappropriate, offensive, or personally objectionable. You understand that We are not responsible for the accuracy, completeness, decency or legality of content hosted by third party websites, nor are We responsible for content on those websites. We strive to only link to third-party sites as a convenience for Our Members and Our linking to these sites does not imply endorsement of, or association with any linked third-party sites. You are solely responsible for and assume all risk arising from accessing any such linked websites.

Disclaimer:

Under no circumstances will SBRG be liable directly or indirectly for damages of any kind including any content You may be exposed to. This includes damage resulting from any goods or services obtained or damage or loss arising out utilization of SBRG Tools. This includes any content that You may find offensive, indecent or objectionable including but not limited to any errors or omissions in any content or any loss or damage of any kind incurred as a result of the use of any content posted or otherwise made available via the Tools.

Changes:

We reserve the right, at Our sole discretion, to modify or replace these Rules at any time. If a revision is significant, We will provide at least 30 days' notice before the new Rules take effect. What constitutes a significant change will be determined at Our discretion.

By continuing to access or use SBRG Tools after any revisions become effective, You agree to be bound by the revised Rules. If You do not agree to the new Rules, You are no longer authorized to use the Tools.

Fees, Payments, Memberships, and Purchases:

When You order a product or service available through the SBRG Tools, You have the opportunity to review and accept the fees that will be charged. Prices, availability, and other purchase terms are subject to change. Items may, without prior notice, be discontinued or change specifications. Any item or service may be subject to taxes. Some items are non-refundable. Purchases of products and services through the SBRG Tools may be subject to specific terms and conditions presented to You at the time of purchase.

SBRG may use third-party services to facilitate payment and the completion of purchases. By providing Your information, You authorize us to share the information with these third-parties in accordance with Our privacy policy. You may be asked to provide certain information relevant to Your purchase, including but not limited to: Your credit card number, the name on the credit card, the expiration date of the credit card, Your billing address, and Your shipping information. By using a credit or debit card as form of payment, You represent and warrant that: (a) You have the legal right to use the card being used for Your purchase; and (b) the information You provide to us is true, correct, and complete.

If Your credit card company declines or refuses to pay the amount owed for the product or service You have purchased, We may, at Our option, suspend or terminate delivery of the product or service immediately, and may require You to pay any associated fees or overdue amounts. In the event that legal action is necessary to collect balances due, You agree to reimburse SBRG for all expenses incurred, including attorney fees and other legal expenses.

SBRG takes the privacy of Your payment information seriously, and therefore does not save payment information. Each individual purchase of SBRG products or services will require You to enter the payment information you choose to use for the purchase you are making.

SBRG reserves the right to refuse or cancel Your order if fraud, unauthorized, or illegal use of the payment method in the transaction is suspected.

Venue and Applicable Law:

The SBRG Tools are operated by Small Business Referral Group, LLC in the State of Minnesota, United States of America. The laws of the State of Minnesota govern these Rules without giving effect to principles of conflicts of laws. Any legal action arising under these Rules shall be brought only in courts located in Olmsted County, Minnesota, which shall have exclusive jurisdiction in all matters. You hereby consent to the exclusive jurisdiction of these stated venues.

Relationship of Parties:

SBRG does not serve as Your agent, fiduciary, trustee, or representative. Nothing expressed or implied in these Rules is intended, nor shall be construed to give any legal or equitable right to any person other than You. These Rules are intended for the sole and exclusive benefit to You and SBRG.

Severability:

In the event that any provision within this set of Rules is held to be invalid or unenforceable, all remaining provisions of these Rules will remain in full force and effect.

Waiver:

SBRG will not be considered to have waived any rights or remedies described in these Rules unless the waiver is (a) in writing, and (b) signed by SBRG. No delay or omission by Us in exercising Our rights or remedies shall impair Our rights or be construed as a waiver. Any exercise or partial exercise of a right or remedy will not preclude further exercise of any other right or remedy. Our failure to enforce the strict performance of any provision of this set of Rules will not constitute a waiver of SBRG’s right to subsequently enforce any and all other provisions of these Rules.

No Resale Right:

You agree not to sell, resell, transfer, reproduce, duplicate, distribute, copy, or otherwise use any portion of the Tools beyond the limited rights granted to You in these Rules.

Force Majeure:

In addition to any excuse provided by applicable law, SBRG shall be excused from liability for non-delivery or delay in delivery of Services available through Our Tools arising from any event beyond Our reasonable control. SBRG shall be excused from liability, whether or not foreseeable by either party, including but not limited to: labor disturbance, public utility interruption, war, fire, accident, weather, governmental act or regulation, acts of God, and any other causes or events which are beyond Our reasonable control.

All proposed Terms of Service changes need to be reviewed for approval by the Front Office.
